User/Client Responsibilities

  • Not infringe on any intellectual property rights.

Payment Terms

Fees for the Services will be outlined in a separate agreement or invoice. Payment is due as specified in the agreement or invoice. We reserve the right to suspend or terminate services for non-payment.

Intellectual Property

  • Potential Delays: Project timelines may be subject to delays due to unforeseen circumstances, such as client delays in providing information or approvals, changes in project scope, unexpected technical challenges, or force majeure events. Every effort will be made to minimize delays and communicate any potential issues to clients promptly.

Revisions Policy

  • Revision Limits: The number of revisions included within the project scope will be specified in the project agreement or statement of work.
  • Revision Request Process: Clients may request revisions to the project deliverables by submitting a written request.
  • Revision Approval: All revisions will be subject to approval by ItXcellerate Limited.
  • Major Changes: Significant changes to the project scope may require a revised project agreement and additional fees.

Termination Clause

  • Termination by ItXcellerate Limited: ItXcellerate may terminate any agreement immediately upon written notice to the client in the event of:
    • Client's material breach of agreement.
    • Client's insolvency or bankruptcy.
    • Client's failure to make timely payments.
  • Termination by Client: The client may terminate agreement upon written notice to ItXcellerate Limited in the event of:
    • Material breach of agreement by ItXcellerate Limited.
    • ItXcellerate inability to perform the services as agreed.

Warranties and Disclaimers

ItXcellerate Limited shall not be liable for any delays or failures in performance caused by unforeseen circumstances beyond its reasonable control, such as natural disasters, acts of God, or government regulations.

Confidentiality

We agree to keep confidential any information you provide to us in connection with the Services. You also agree to keep confidential any information we provide to you that is marked as confidential or is by its nature confidential.

Governing Law

These Terms will be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Dispute Resolution

The parties shall attempt to resolve any disputes arising out of or relating to any agreement through good faith negotiation. If the parties are unable to resolve the dispute through negotiation, they shall submit the dispute to binding arbitration in Nigeria. The arbitration shall take place in Lagos Nigeria. The award of the arbitrator shall be final and binding upon the parties.
